Welcome to CAS Private Care LLC ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Service") provided by CAS Private Care LLC, a platform connecting families and individuals with professional caregivers, housekeeping services, personal assistants, marketing partners, and training centers.

2. Description of Service

CAS Private Care LLC operates an online marketplace platform that connects:

• Clients: Individuals and families seeking caregiving, housekeeping, personal assistant, and related services
• Caregivers: Professional caregivers providing care services
• Housekeeping Providers: Professionals offering housekeeping and cleaning services
• Personal Assistants: Individuals providing personal assistance services
• Marketing Partners: Partners assisting with marketing and business development
• Training Centers: Organizations providing training and certification services

Our Service facilitates the connection between service providers and clients, including but not limited to booking management, payment processing, communication tools, review systems, and profile management.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Approval (Service Providers)

Service providers (caregivers, housekeeping providers, personal assistants, etc.) must undergo an approval process. We reserve the right to approve or reject any application at our sole discretion. Service providers will not be able to access the platform until their application has been approved by an administrator.

3.3 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

4. User Responsibilities

4.1 Client Responsibilities

• Provide accurate information about service needs and requirements
• Communicate clearly and respectfully with service providers
• Make timely payments for services rendered
• Provide a safe working environment for service providers
• Respect service provider boundaries and professional guidelines
• Report any concerns or issues through appropriate channels

4.2 Service Provider Responsibilities

• Provide accurate profile information, qualifications, and credentials
• Maintain professional standards and conduct
• Complete services as agreed upon with clients
• Comply with all applicable laws, regulations, and professional standards
• Obtain and maintain all necessary licenses, certifications, and insurance
• Report accurate time tracking information
• Submit required documentation (e.g., training certificates, background checks)

4.3 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use automated systems to access the Service without permission
• Harass, abuse, or harm other users
• Post false, misleading, or defamatory content
• Violate the privacy rights of other users
• Solicit other users for services outside of our platform
• Circumvent payment processing through our platform

5. Service Provider Classifications

Service providers on our platform are classified as independent contractors (1099 contractors), not employees of CAS Private Care LLC. Service providers are responsible for:

• Their own taxes and tax reporting obligations
• Obtaining their own insurance coverage
• Complying with all applicable employment and tax laws
• Setting their own schedules (subject to client agreements)
• Using their own equipment and supplies (unless otherwise agreed)

6. Bookings and Services

6.1 Booking Process

Clients may book services through our platform. Bookings are subject to availability and service provider acceptance. We facilitate the connection but are not a party to the service agreement between clients and service providers.

6.2 Service Agreements

The actual service is provided directly by the service provider to the client. CAS Private Care LLC acts as a marketplace platform and is not responsible for the quality, safety, legality, or delivery of services provided by service providers.

6.3 Cancellations and Refunds

Cancellation and refund policies will be communicated at the time of booking. Service providers and clients are expected to honor their commitments and provide reasonable notice for cancellations.

7. Payments and Fees

7.1 Payment Processing

Payments for services are processed through our secure payment system. Clients agree to pay all fees associated with booked services, including service fees and platform fees as disclosed at the time of booking.

7.2 Service Provider Payouts

Service providers will receive payouts according to our payment schedule and terms. Payouts are subject to verification and may be delayed for review. Service providers are responsible for providing accurate payment information.

7.3 Pricing

All prices are displayed in U.S. Dollars. We reserve the right to modify pricing at any time, but changes will not affect bookings already confirmed.

8. Reviews and Ratings

Users may submit reviews and ratings for services received or provided. Reviews must be truthful, accurate, and based on actual experience. We reserve the right to remove reviews that violate our guidelines or these Terms.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by CAS Private Care LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

11.3 Third-Party Services

We are not responsible for the conduct of users, service providers, or third parties. We do not perform background checks on all users and do not guarantee the accuracy of user-provided information. Users are responsible for verifying the qualifications and credentials of service providers.

12. Indemnification

You agree to indemnify, defend, and hold harmless CAS Private Care LLC and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in your account settings.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the integrity of our Service and other users.
